Welcome to the FancyAI platform and related services.

This FancyAI User Agreement (the "Agreement") is entered into by and between you and Time Emergence Information Technology (Nanjing) Co., Ltd. ("we," "us," or "FancyAI"). Our affiliates may participate in providing the relevant services to the extent necessary. This Agreement applies to your access to, registration for, login to, and use of the FancyAI official website, console, developer documentation, API interfaces, asset community, and any clients, applications, software development kits (SDKs), application programming interfaces (APIs), and other related products and services that we may launch from time to time.

Before registering for, logging in to, accessing, or using the FancyAI services, please carefully read and fully understand all terms of this Agreement, especially those concerning exemptions or limitations of liability, user responsibilities, intellectual property, and dispute resolution. By clicking to agree, completing registration, actually using the services, or otherwise expressly or implicitly accepting this Agreement, you are deemed to have read, understood, and agreed to be bound by this Agreement.

1. Definitions and Scope of Services

1.1 FancyAI Services

FancyAI is an AI platform for enterprises and developers. It currently provides services including but not limited to:

  1. AI image generation, video creation, audio generation, and multimodal generation capabilities;
  2. Asset community features, including browsing, searching, collecting, sharing, and interacting with case content;
  3. AI experts, industry Skills, and Agent capability calls;
  4. API access to and call management for capabilities aggregated from third-party model providers;
  5. Console, API Key management, billing, orders, tickets, documentation, and customer support services;
  6. Other product features or value-added services that we may launch from time to time.

1.2 Third-Party Services

You understand and agree that some FancyAI services may be implemented based on third-party models, third-party cloud services, third-party payments, third-party login, or other partner capabilities. We will provide explanations for such services to the extent necessary. Products or services independently provided to you by third parties are subject to their own agreements and rules.

1.3 Service Adjustments

We have the right to adjust service content, page presentation, functional rules, API documentation, call methods, fee models, and this Agreement based on business development, laws and regulations, technical updates, platform security, and compliance requirements.

2. Account Registration, Login, and Management

2.1 Registration and Login

To use the full features of FancyAI, you need to register an account. You may register or log in through your mobile number, verification code, password, or other methods supported by the platform according to page prompts. If the platform supports third-party account login or binding, you agree that we may obtain the public information of such third-party account and the information required for login to the extent necessary.

2.2 Authenticity of Information

You shall ensure that your registration information is true, accurate, complete, and lawful, and update it promptly when changes occur. You shall bear any risks, losses, or liabilities arising from false, incorrect, outdated, or incomplete information submitted by you.

2.3 Account Use Restrictions

Your account may only be used by you or by an entity legally authorized by you. Without our written consent, you may not rent, lend, sell, transfer, or share your account, nor may you maliciously register or use accounts through batch registration, automated scripts, proxy pools, credential stuffing, account farming, or similar methods.

2.4 Security Safekeeping Obligations

You shall properly safeguard your account, password, verification code, API Key, Access Token, and other authentication credentials, and you shall be responsible for all activities conducted through your account. If you discover account theft, API Key leakage, or any other security risk, you shall immediately notify us and take measures such as changing your password or resetting your keys.

2.5 Platform Security Measures

To protect platform and transaction security, we have the right to conduct identity verification, abnormality checks, security verification, permission restrictions, temporary freezes, or other necessary measures for your account according to laws and regulations, regulatory requirements, or risk assessments.

2.6 Account Restrictions and Termination

If you have not logged in or used relevant services for a long period, or if your account involves illegal or non-compliant conduct, infringement, abnormal calls, resource abuse, harm to platform security, or similar circumstances, we have the right to suspend or terminate all or part of the services provided to you and cancel your account as appropriate.

3. Service Use Rules

3.1 Obligation of Lawful Use

You shall use the FancyAI services lawfully, properly, and in good faith, and may not use FancyAI to engage in any illegal, non-compliant, infringing, cybersecurity-harming, market-order-disrupting, or rights-impairing conduct.

3.2 Prohibited Conduct

You may not engage in the following conduct, including but not limited to:

  1. Reverse engineering, disassembling, decompiling, cracking, bypassing, circumventing, interfering with, or damaging the platform, interfaces, models, algorithms, billing, risk control, or security mechanisms;
  2. Using crawlers, scripts, plug-ins, automated tools, or similar methods to scrape, mirror, copy, download, or export platform content, model information, case assets, or API results in bulk, unless otherwise authorized by us in writing;
  3. Maliciously inflating usage, abusing calls, exploiting computing resources, stress testing, credential stuffing, hotlinking, wrapping, reselling, subleasing API quotas, or otherwise abusing platform resources;
  4. Inputting, uploading, generating, publishing, or disseminating content that is illegal, false, infringing, insulting, defamatory, obscene or pornographic, violent or terrorist, hateful or discriminatory, harassing, gambling-related, fraudulent, malicious marketing, privacy-infringing, or otherwise contrary to laws, regulations, public order, or good morals;
  5. Inputting, uploading, or processing others' personal information, trade secrets, confidential materials, internal data, copyrighted content, trademark materials, portraits, or voices without authorization;
  6. Impersonating others or official entities, misleading the public, or deleting, tampering with, or obscuring AI-generated labels, watermarks, copyright information, or source descriptions added by the platform in accordance with law;
  7. Using the platform services to train, build, optimize, or evaluate products, models, or services that directly compete with FancyAI, unless otherwise agreed by us in writing.

3.3 Compliance with Third-Party Rules

When you call third-party model capabilities through FancyAI, you shall also comply with the usage policies, content policies, and intellectual property rules of the corresponding third-party service providers. You shall bear any restrictions, interruptions, bans, claims, or other liabilities arising from your violation of third-party rules.

4. Special Notice on AI-Generated Content

4.1 Technical Limitations

The generative AI services provided by FancyAI involve probabilistic, uncertain, and technically limited outputs. We make no express or implied warranties as to the authenticity, accuracy, completeness, reliability, availability, originality, non-infringement, or fitness for a particular purpose of generated results.

4.2 User Review Responsibility

The same or similar input conditions may generate different results, and different users may also obtain similar results. You shall independently review, verify, edit, and judge generated content, and independently bear the legal liabilities and commercial risks arising from displaying, disseminating, commercializing, placing, publishing, training, developing, or otherwise using such content.

4.3 Compliance Labels

Where required by laws and regulations, regulatory requirements, or platform rules, we have the right to add explicit or implicit labels, watermarks, source descriptions, risk notices, or other compliance measures to AI-generated content. Without our written consent, you may not remove, circumvent, or damage such labels without authorization.

5. User Content and Customer Data

5.1 Definition

Texts, images, audio and video, data, files, prompts, training materials, business data, code, and other content that you input, upload, submit, store, publish, generate, transmit, or process while using FancyAI are collectively referred to as "User Content" or "Customer Data."

5.2 User Representations and Warranties

You represent and warrant that:

  1. You have lawful rights to the User Content, or have obtained sufficient, valid, and sublicensable authorization;
  2. Your User Content has a lawful source and lawful purpose, and does not infringe any third party's intellectual property rights, personality rights, privacy rights, data rights, or other lawful rights and interests;
  3. If the User Content contains personal information, portraits, voices, biometric information, trade secrets, or other sensitive information, you have lawfully completed notice, authorization, consent, and other necessary compliance obligations.

5.3 Necessary License

As between you and us, unless otherwise provided by laws and regulations or agreed by both parties, you lawfully enjoy the rights to your User Content. To provide services to you, perform storage and transmission, distribute content, troubleshoot issues, conduct security reviews, handle complaints, optimize experience, retain records for compliance, and display content, you grant us a worldwide, non-exclusive, sublicensable, royalty-free necessary license to use such content within the scope necessary for providing the services.

5.4 Protection of Private Data and De-Identified Use

Without your explicit authorization, or unless otherwise provided by laws and regulations, FancyAI will not publicly display your private business data.

However, you understand and agree that, after de-identification, anonymization, and aggregation so that specific individuals or enterprises cannot be identified, we may use relevant usage data, log data, and generation-effect data for platform security, product optimization, service improvement, model performance evaluation, and experience enhancement.

5.5 Obligations for Services Provided to End Users

If you use FancyAI to provide services to your customers or end users, you shall independently provide them with independent, lawful, and valid service agreements and privacy policies, and independently bear the corresponding legal responsibilities. This Agreement and the platform Privacy Policy do not replace the legal documents between you and your end users.

6. API, Keys, and Call Specifications

6.1 API Key Management

You may obtain API Keys and call relevant APIs according to platform rules. API Keys are sensitive credentials. You shall keep them strictly confidential and may not publicly disclose them, embed them in plaintext frontend code, or provide them to unauthorized third parties.

6.2 Call Restrictions

You may not make API calls beyond the scope authorized by page descriptions, documentation, or package permissions, nor may you circumvent billing, quotas, rate limits, risk control, or security policies, or use APIs for stress testing, bypassing, reverse engineering, scraping, or other abnormal use.

6.3 API Adjustments

Based on security, stability, compliance, and operational needs, we have the right to adjust available models, call frequencies, concurrency limits, return formats, billing methods, compatibility layers, gateway policies, model mappings, and similar matters for APIs, and notify you through documentation, announcements, emails, in-site messages, or other means.

7. Fees, Orders, and Settlement

7.1 Fee Description

Some FancyAI services are free, while others are paid. Specific fee standards, billing metrics, settlement methods, refund rules, invoice rules, and promotional activities shall be subject to the platform pages, console, order pages, commercial contracts, or other written agreements.

7.2 Fee Adjustments

You understand and agree that we may update fee standards, preferential policies, resource package rules, or settlement methods based on business adjustments, market changes, cost changes, model supply changes, or policy requirements. After such updates, we will explain or publish them in a reasonable manner.

7.3 Breach Handling

If you make overdue payments, refuse payments, maliciously request refunds, engage in abnormal transactions, cheat for arbitrage, or otherwise breach your obligations, we have the right to suspend delivery, restrict features, terminate services, and reserve the right to pursue liability for breach.

8. Intellectual Property

8.1 Ownership of Platform Intellectual Property

The intellectual property rights in the FancyAI platform and its trademarks, names, logos, page designs, interface elements, copy, documentation, code, model routing, gateway services, algorithms, software, databases, and other content belong to us or the relevant rights holders.

8.2 Restrictions on Use of Platform Content

Without our written consent, you may not copy, sell, rent, sublicense, publicly disseminate, communicate through information networks, mirror, scrape, display, or otherwise use platform content beyond the authorized scope.

8.3 License for User Public Content

You retain the rights you lawfully enjoy in content that you publicly publish through the platform. However, for reasonable purposes such as platform display, dissemination, recommendation, event promotion, case presentation, community operation, customer service, and security review, you agree to grant us the necessary license to reasonably use such public content on the platform and in related promotional materials.

9. Handling of Breaches

9.1 Platform Measures

If you violate laws and regulations, this Agreement, or platform rules, we have the right to unilaterally take one or more measures, including but not limited to warnings, feature restrictions, content deletion, content removal, stopping API calls, restricting API Keys, freezing accounts, terminating services, closing accounts, deducting resources, canceling event eligibility, refusing refunds, and pursuing legal liability.

9.2 Cooperation with Investigations

For suspected illegal or criminal conduct, we have the right to retain relevant records and report to or cooperate with regulatory authorities, judicial authorities, or other competent authorities in accordance with law.

9.3 Indemnification

If your illegal, non-compliant, infringing, or breaching conduct causes us, our affiliates, partners, or any third party to suffer complaints, claims, penalties, losses, or expenses, including attorneys' fees, litigation fees, preservation fees, notarization fees, and similar costs, you shall fully indemnify us.

10. Disclaimer

10.1 Services Provided As Is

The FancyAI services are provided on an "as is" and "as available" basis. We do not guarantee that the services will be continuously uninterrupted, flawless, or completely error-free, nor do we guarantee that any specific model, specific provider, or specific API will remain continuously available at any point in time.

10.2 Exemptions

To the extent permitted by law, we shall not be liable for service interruptions, data delays, call failures, result deviations, abnormal content, access restrictions, or other losses caused by:

  1. Force majeure;
  2. Third-party model service providers, cloud service providers, network operators, payment institutions, SMS service providers, or other third parties;
  3. System upgrades, maintenance, migration, tuning, rate limiting, or security handling;
  4. Hacker attacks, viruses or Trojans, network congestion, or device failures;
  5. Your own improper operations, incorrect environment configuration, credential leakage, or use beyond the authorized scope.

10.3 User Responsibility for Independent Decisions

You shall bear the consequences of any business decision, design decision, placement decision, legal judgment, or other action you make based on generated content, case content, community content, or reference information.

11. Changes, Suspension, and Termination

11.1 Agreement Revisions

We have the right to revise this Agreement according to changes in business, technology, compliance, laws, and regulations, and notify you through website announcements, in-site notices, pop-ups, emails, or other reasonable means.

11.2 Effectiveness

The revised Agreement takes effect after publication or notification. Your continued use of the FancyAI services will be deemed acceptance of the revised Agreement. If you do not agree, you shall stop using the relevant services.

11.3 Account Cancellation and Information Processing

If you no longer use the FancyAI services, you may apply to cancel your account according to page instructions. After account cancellation, unless otherwise provided by laws and regulations or necessary for fulfilling compliance obligations, we will stop providing services to you and delete or anonymize relevant information.

12. Use by Minors

12.1 Applicable Users

FancyAI mainly provides services to adults, enterprise users, and developers. Minors under the age of eighteen shall use the relevant services with the consent and guidance of their guardians.

12.2 Minor Protection Measures

If we discover that a minor is using services requiring registration or payment without guardian consent, we have the right to take restriction, suspension, or termination measures.

13. Governing Law and Dispute Resolution

13.1 Governing Law

The formation, effectiveness, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China.

13.2 Dispute Resolution Method

Any dispute arising from or related to this Agreement shall first be resolved through friendly negotiation. If negotiation fails, either party may file a lawsuit with the people's court having jurisdiction over the domicile of the contracting entity under this Agreement.

Time Emergence Information Technology (Nanjing) Co., Ltd. and its affiliates that participate in providing relevant services to the extent necessary ("we," "us," or "FancyAI") attach great importance to the protection of your personal information and privacy.   3. API Keys, call records, and usage of resource packages or computing packages;
  4. Information required for business communication, contract signing, and after-sales support.

3. Content Generation and Asset Processing

When you use services such as AI image generation, video creation, audio generation, virtual models, background replacement, automatic layout, main-image video generation, industry Skills, and AI experts, we may collect:

  2. Images, audio, videos, documents, and other assets you actively upload;
  3. Models, parameters, templates, styles, and task configurations you select;

In principle, we will not transfer your personal information.

In the event of merger, division, acquisition, restructuring, asset transfer, bankruptcy liquidation, or similar circumstances involving the transfer of personal information, we will notify you in accordance with law and require the new holder to continue to be bound by this Policy. Otherwise, we will require the new holder to obtain your consent again.

3. Public Disclosure

We will not publicly disclose your personal information, except in the following circumstances:

  1. With your separate consent;
  2. As required by laws and regulations, regulatory requirements, or competent authorities;

For personal information after account cancellation, we will delete or anonymize it in compliance with laws and regulations, except where retention is required by laws, regulations, or regulatory rules.

If a personal information security incident occurs or may occur, we will take remedial measures in accordance with law and notify you of relevant circumstances as required by laws and regulations.
